The Service provides regulatory citation lookup, jurisdiction monitoring, automated compliance alerts, and an AI compliance assistant ("Ask Vi"). The Service is intended for use by healthcare organizations, telemedicine companies, solo providers, law firms, pharmacies, and other entities operating in regulated healthcare environments.

Important: The Service provides regulatory information and AI-generated compliance intelligence for informational purposes only. It does not constitute legal advice, medical advice, or a substitute for consultation with qualified legal counsel or compliance professionals.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your password and account credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account
• Not share your account credentials with any third party

4. Subscription Plans and Payment

By providing payment information, you authorize us to charge the applicable fees to your payment method. All fees are non-refundable except as expressly stated in our Refund Policy or required by applicable law. We reserve the right to modify pricing with 30 days' advance notice to subscribers.

5. Acceptable Use

You agree not to use the Service to:

• Reverse engineer, decompile, or attempt to extract our source code or proprietary algorithms
• Scrape, copy, or reproduce any regulatory database content for redistribution
• Impersonate any person or entity or misrepresent your affiliation

• Circumvent any access controls, rate limits, or security measures
• Use the Service for competitive intelligence gathering against OneVi

6. Intellectual Property

The Service, including all content, features, AI models, regulatory knowledge graphs, compliance interpretations, and proprietary methodologies, is owned by OneVi and protected by U.S. and international intellectual property laws. All underlying regulatory data is drawn from publicly available government sources, but our selection, organization, indexing, interpretation, and AI-generated analysis constitute trade secrets and proprietary work product of OneVi. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription period solely for your internal compliance purposes.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ASKVI DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT REGULATORY INFORMATION IS COMPLETE, ACCURATE, OR UP TO DATE. REGULATORY REQUIREMENTS CHANGE FREQUENTLY — ALWAYS VERIFY CRITICAL COMPLIANCE DECISIONS WITH QUALIFIED LEGAL COUNSEL.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASKVI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless OneVi and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

Ask Vi and all AI-powered features of the OneVi platform ("AI Features") generate responses using large language models and our proprietary regulatory knowledge graph. AI-generated responses are provided for informational and research purposes only. They do not constitute legal advice, legal opinions, or a definitive statement of applicable law or regulation.

Healthcare regulatory requirements are complex, jurisdiction-specific, and subject to frequent change. Always verify AI-generated compliance information with qualified legal counsel or a certified compliance professional before making material compliance decisions.

2. Limitations of AI Accuracy

While we invest significantly in maintaining the accuracy and currency of our regulatory data, you acknowledge and agree that:

• AI-generated responses may contain errors, omissions, or outdated information
• Regulatory requirements may have changed after our last data update
• The AI may misinterpret ambiguous regulatory language
• Jurisdiction-specific nuances may not always be fully captured

Use of Ask Vi and AI Features does not create an attorney-client relationship between you and OneVi. No information provided through the AI Features should be relied upon as legal advice. You are solely responsible for compliance decisions made based on information provided by the Service.

4. AI Data Processing

When you submit queries to Ask Vi, your queries are processed by AI systems. Queries may be used in anonymized form to improve our AI systems and regulatory coverage. We do not use your queries to train third-party AI models in a way that exposes your organization's identity or specific compliance posture to other users.

Do not submit personally identifiable patient information (PHI), Social Security numbers, or other sensitive data through Ask Vi queries. The AI interface is not a HIPAA-compliant channel for PHI transmission.

5. Intellectual Property in AI Outputs

AI-generated responses from Ask Vi are provided to you for your internal compliance use. While the underlying regulatory data is from public sources, our AI's analysis, synthesis, risk scoring, and compliance interpretations represent proprietary work product. You may not:

• Republish or commercially redistribute AI-generated compliance outputs
• Use AI outputs to build competing compliance products or services
• Reverse-engineer the AI's regulatory knowledge base or reasoning methodology
• Represent AI-generated content as your organization's original legal analysis without independent verification

6. Rate Limits and Fair Use

AI query usage is subject to plan-level limits. Automated querying, scripted bulk requests, or systematic data extraction is prohibited without prior written authorization. OneVi reserves the right to throttle or suspend access for accounts that abuse AI query limits or attempt to extract the regulatory database through AI queries.

AI Features may be temporarily unavailable due to maintenance, model updates, or third-party provider issues. We do not guarantee uninterrupted AI availability. Planned maintenance will be communicated in advance when possible.

1. Our Role Under HIPAA

The Health Insurance Portability and Accountability Act of 1996 (HIPAA) and the Health Information Technology for Economic and Clinical Health (HITECH) Act establish national standards for the protection of individually identifiable health information (Protected Health Information or "PHI").

OneVi is a compliance intelligence platform, not a healthcare provider, health plan, or healthcare clearinghouse. As such, we are not directly subject to HIPAA as a covered entity. However, we understand that our clients operate in HIPAA-regulated environments and we take our compliance obligations seriously.

2. Business Associate Considerations

If your use of OneVi involves the creation, receipt, maintenance, or transmission of PHI on behalf of a HIPAA covered entity, a Business Associate Agreement (BAA) may be required. Enterprise plan subscribers may request a BAA by contacting info@OneVi.ai.

Important: The OneVi platform is designed as a regulatory intelligence tool and is not intended to be used as a repository, transmission vehicle, or storage system for PHI. Do not enter PHI (patient names, dates of birth, medical record numbers, diagnoses, etc.) into any OneVi interface, including Ask Vi queries.

In alignment with HIPAA Security Rule principles, OneVi implements the following technical safeguards:

• Access Controls: Role-based access controls and unique user authentication via Memberstack. All accounts require unique credentials.
